1. Introduction
These Terms of Service ("Terms") govern your use of Sterling Design Group PTY LTD's (ABN: 81 689 272 535) ("we," "our," or "us") creative consulting and design strategy services. By engaging our services, you agree to be bound by these Terms.
2. Scope of Services
2.1 What We Provide
We provide creative consulting and design strategy services including:
- Strategic consultation and creative direction
- Brand concept development and positioning
- Graphic design direction and guidelines
- Environmental and spatial design concepts
- Creative advisory and ongoing guidance
2.2 What We Do Not Provide
Our services are limited to concepts and strategy. We do not provide:
- Final production artwork or files
- Print production or fabrication services
- Website development or coding
- Project management or implementation
- Ongoing production support
3. Proposals and Agreements
All services are provided based on written proposals that outline scope, deliverables, timeline, and pricing. Proposals become binding upon your written acceptance. Any changes to scope require written agreement and may result in additional fees.
4. Timelines and Client Responsibilities
4.1 Project Timelines
Project timelines are estimates based on standard client response times. Delays in client feedback, approval, or provision of required materials may extend project timelines.
4.2 Client Responsibilities
Clients are responsible for:
- Providing accurate and complete project briefs
- Timely feedback and approvals
- Providing necessary brand assets and information
- Compliance with applicable laws and regulations
- Payment according to agreed terms
5. Pricing and Payments
5.1 Currency and Pricing
All prices are quoted in Australian Dollars (AUD) and are inclusive of GST where applicable. Prices are valid for 30 days from the proposal date.
5.2 Payment Terms
- Strategy Sessions: Payment due upon booking
- Fixed-price projects: 50% deposit, 50% upon delivery
- Monthly Advisory: Payment due in advance
- All payments processed securely via our payment service provider
5.3 Late Payments
Late payments may incur interest charges at 1.5% per month. We reserve the right to suspend services for accounts with outstanding balances.
6. Intellectual Property
6.1 Ownership Transfer
Upon full payment, ownership of all original creative concepts and strategic work transfers to the client. This includes brand concepts, design directions, and strategic recommendations developed specifically for the client.
6.2 Moral Rights
We reserve the right to be identified as the creator of the work and to object to derogatory treatment of the work, as provided under Australian copyright law.
6.3 Third-Party Assets
Any third-party assets (fonts, images, software) used in concepts remain subject to their original licenses. Clients are responsible for obtaining appropriate licenses for implementation.
6.4 Portfolio Rights
We retain the right to use completed work for portfolio and marketing purposes, unless otherwise agreed in writing.
7. Revisions and Changes
Each service includes a specified number of revisions as outlined in the proposal. Additional revisions may be available at additional cost. Major scope changes require a new proposal and agreement.
8. Cancellations and Refunds
8.1 Client Cancellations
- Strategy Sessions: Refundable with 24+ hours notice
- Fixed-price projects: 80% refundable before work begins
- Monthly Advisory: 30-day notice required for cancellation
8.2 Our Cancellation Rights
We reserve the right to cancel services for non-payment, inappropriate behavior, or if the project conflicts with our values or legal obligations.
9. Disclaimers and Liability
9.1 Service Limitations
Our services provide strategic direction and concepts only. We do not guarantee specific business outcomes, and clients are responsible for implementation and results.
9.2 Liability Cap
Our total liability is limited to the total fees paid for the specific service in question. We are not liable for indirect, consequential, or punitive damages.
9.3 Professional Indemnity
We maintain professional indemnity insurance as required for our business operations in Australia.
10. Confidentiality
We maintain strict confidentiality regarding client information and projects. We will not disclose confidential information to third parties without written consent, except as required by law.
11. Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, or technical failures.
12. Governing Law
These Terms are governed by the laws of South Australia, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of South Australia.
